Terms of Service

OpportunityToServe ("we," "us," or "our"): A registered 501(c)(3) nonprofit organization (EIN: 45-4869558) that operates OpportunityToServe.org and the charitable programs described on this Site.

OpportunityToServe, LLC: A separate Wyoming limited liability company that operates OpportunityToServe.com and is not a 501(c)(3) tax-exempt organization. OpportunityToServe, LLC may provide technology, payment processing, or administrative services to OpportunityToServe in connection with donations and operations on this Site.

Donation: A voluntary charitable contribution made to OpportunityToServe through the authorized payment flows on this Site. Donations do not constitute a purchase of goods or services.

Donor: An individual or organization that makes a Donation to OpportunityToServe through this Site.

Program: A charitable initiative, fund, or area of work described on this Site (for example, health and wellness, education, or Service Army).

User Content: Any information, text, images, files, or other materials that you submit, post, or transmit through this Site, including grant applications, contact form submissions, and uploaded materials.

User: Any individual or entity interacting with this Site, including Donors, grant applicants, and visitors.

This Site is operated by OpportunityToServe, the 501(c)(3) nonprofit organization. OpportunityToServe.com is a separate website operated by OpportunityToServe, LLC and provides crowdfunding and platform services that are governed by separate terms.

Use of OpportunityToServe.com is subject to the OpportunityToServe.com Terms of Service. Nothing in this Agreement governs your use of OpportunityToServe.com unless expressly stated.

OpportunityToServe.org provides information about OpportunityToServe's charitable mission, programs, and initiatives; accepts tax-deductible Donations in support of those programs; and may offer forms to contact us or apply for grants. Donations made through this Site are made to OpportunityToServe, not to OpportunityToServe, LLC.

OpportunityToServe distributes charitable aid and program resources at its discretion in furtherance of its mission, subject to applicable law, donor restrictions that are legally valid, and organizational policies.

If you submit a grant application, contact form, or other inquiry through this Site, you represent that all information you provide is truthful, accurate, and complete to the best of your knowledge. Submission of an application does not guarantee approval, funding, or a response within any particular timeframe.

OpportunityToServe may verify information you provide, request additional documentation, and approve or deny applications in its sole discretion consistent with its mission, policies, and available resources.

This Site and its content are owned or licensed by OpportunityToServe unless otherwise indicated. Unless expressly permitted, you may view and download materials from this Site only for personal, noncommercial use in connection with your lawful use of the Site. You may not repost Site materials to another website, use Site content for unauthorized commercial solicitation, or remove copyright, trademark, or other proprietary notices from permitted copies.

No right, title, or interest in the Site or its materials is transferred to you except the limited rights expressly granted in this Agreement.

If you submit User Content, you retain ownership of your User Content, subject to the license granted below. You may request removal of your User Content where feasible, subject to our legal, regulatory, and operational obligations.

You agree not to submit User Content that:

• is unlawful, harmful, abusive, defamatory, harassing, discriminatory, or otherwise objectionable;
• infringes any third-party intellectual property, privacy, or publicity rights;
• contains information you do not have the right to provide; or
• is false, misleading, or not current.

By submitting User Content, you grant OpportunityToServe a royalty-free, worldwide, non-exclusive, sublicensable license to use, reproduce, modify, publish, and display such content in connection with operating, reviewing, promoting, and improving the Site and our programs. You represent that you have all rights necessary to grant this license.

To the extent permitted by law, OpportunityToServe is not the publisher or speaker of User Content submitted by users and acts as a passive conduit for its display. Nothing in this Agreement limits defenses or protections available under applicable law, including 47 U.S.C. § 230 where applicable. We may remove User Content at any time, with or without notice, and without liability.

"OpportunityToServe" and related marks, logos, and Site content are protected by intellectual property laws. You may not use our name, logos, or marks except as expressly permitted in this Agreement or with our prior written consent. Unauthorized use may violate applicable law.

This Site may contain links to third-party websites. We do not control, endorse, or adopt third-party content and are not responsible for its accuracy, safety, or legality. You access third-party websites at your own risk. If you believe a linked site is inappropriate, notify us at support@OpportunityToServe.com.

Donations and related services may be processed by third parties such as Braintree, PayPal, or their partners, and may involve technology or administrative services provided by OpportunityToServe, LLC. Those providers are independent contractors and not agents of OpportunityToServe except as expressly stated. We are not liable for processor delays, holds, rejections, account limitations, or other acts or omissions of third-party service providers.

THE SITE AND ALL CONTENT AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, OPPORTUNITYTOSERVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OPPORTUNITYTOSERVE AND ITS OFFICERS, DIRECTORS, TRUSTEES, EMPLOYEES, AGENTS, VOLUNTEERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THIS SITE, INCLUDING WITHOUT LIMITATION LOSS OF DATA, LOSS OF PROFITS, PERSONAL INJURY, OR PROPERTY DAMAGE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT ALLOWED BY LAW, IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (I) THE AMOUNT YOU DONATED TO OPPORTUNITYTOSERVE THROUGH THIS SITE IN THE THREE (3) MONTHS PRECEDING YOUR CLAIM OR (II) U.S. $50.00. THE FOREGOING DOES NOT AFFECT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

If you are a California resident, you waive California Civil Code § 1542 with respect to releases contained in this Agreement, to the extent permitted by law.

You agree to defend, indemnify, and hold harmless OpportunityToServe and its officers, directors, trustees, employees, agents, volunteers, and affiliates from and against any claims, losses, liabilities, damages, penalties, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of this Site; (b) your User Content; (c) your breach of this Agreement; (d) your grant application or representations to us; or (e) your violation of applicable law or the rights of any third party.

OpportunityToServe shall not be liable for any delay, failure, or interruption of the Site resulting from causes beyond our reasonable control, including natural disasters, war, labor disputes, utility or internet failures, hosting outages, payment processor downtime, government action, or failures of third-party suppliers.

We may restrict, suspend, or terminate your access to this Site at any time, with or without cause or notice, to the extent permitted by law. Provisions that by their nature should survive will survive termination, including ownership, disclaimers, indemnity, limitations of liability, and dispute resolution.

We may amend this Agreement by posting revised Terms on this page and/or by other notice we deem appropriate. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Site.

This Agreement is the entire agreement between you and OpportunityToServe regarding the Site and supersedes prior understandings on that subject. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. You may not assign this Agreement without our prior written consent. We may assign this Agreement without restriction. There are no third-party beneficiaries except as expressly stated.
